These Terms and Conditions (the "Terms") govern the BetterWorld Technology Referral Rewards Program (the "Program"). By submitting a referral through any Program channel, the person submitting the referral (the "Participant") agrees to these Terms in full. BetterWorld Tech Inc. DBA BetterWorld Technology ("BetterWorld Technology," "we," "us," or "our") administers the Program.
Program Overview
The Program rewards Participants who introduce BetterWorld Technology to organizations that become new managed services clients. A Participant submits a referral through the Program referral form at [URL] or directly to a member of the BetterWorld Technology business development team. If the referred organization satisfies the Qualified Referral requirements and the applicable reward conditions below, the Participant becomes eligible to receive the corresponding reward.
All eligibility, qualification, and reward determinations are made by BetterWorld Technology in its sole discretion and are final.
Participant Eligibility
Who May Participate
- Current Clients. Authorized contacts and trusted advisors of organizations under an active services agreement with BetterWorld Technology.
- Members of the Public. Any individual who is at least 18 years of age, is a legal resident of the United States, and has a genuine, pre existing relationship with the referred organization.
- BetterWorld Technology Employees. Employees referring on their own behalf, subject to the employee provisions below.
- Partners, Vendors, and Professional Advisors. CPAs, attorneys, consultants, technology vendors, and similar advisors, provided the referral is not already covered by a separate channel, alliance, or commission agreement with BetterWorld Technology.
Who May Not Participate
- Quota carrying sales employees of BetterWorld Technology
- Members of the BetterWorld Technology executive leadership team at the level of Vice President or above, members of any BetterWorld Technology board or advisory board, and immediate family members of any excluded person
- Any person or entity with an existing channel partner, alliance partner, broker, or commission agreement with BetterWorld Technology, with respect to referrals covered by that agreement
- Employees, owners, or officers of the referred organization referring their own employer, except where the referrer is a Trusted Advisor as described below
- Any person prohibited from participating by applicable law, regulation, professional rule, or the policies of their own employer
BetterWorld Technology Employees
Employees may participate only when referring on their own behalf. Employees referring on behalf of another person are not eligible for rewards. An employee must be actively employed by BetterWorld Technology and in good standing both at the time the referral is submitted and at the time any reward is issued. Employee rewards are processed through payroll and treated as supplemental wages, subject to all applicable federal, state, and local withholding.
Trusted Advisors
A "Trusted Advisor" is an individual who is not an employee of the referred organization but who provides professional services for that organization's benefit, such as an outside accountant, attorney, board member, or consultant. Trusted Advisors may participate provided their participation does not violate any professional obligation, fiduciary duty, or agreement to which they are subject. It is the Trusted Advisor's sole responsibility to confirm that accepting a reward is permissible under the rules of their profession and the policies of the referred organization.
Qualified Referral Requirements
A referral is a "Qualified Referral" only if all of the following conditions are met.
Status of the Referred Organization
- The referred organization is not a current BetterWorld Technology client and has not been a client at any time within the past 24 months.
- The referred organization is not an active prospect in the BetterWorld Technology CRM. A prospect is considered active if there has been documented sales activity within the 90 days preceding the referral submission.
- The referred organization is not an affiliate, subsidiary, or entity under common ownership with a current BetterWorld Technology client.
- The referred organization is not the subject of a substantially similar referral submitted earlier by another Participant. Where duplicate referrals exist, the first complete submission recorded in the BetterWorld Technology CRM controls.
- All information the Participant provides about the referred organization is accurate and complete.
Nature of the Referral Relationship
- The Participant has a genuine, pre existing personal or professional relationship with the referred organization.
- The referral was not generated through purchased contact lists, scraped or harvested data, mass unsolicited outreach, or any method that violates applicable law, including CAN SPAM and the Telephone Consumer Protection Act.
- The Participant has obtained the referred contact's consent to share their contact information with BetterWorld Technology and for BetterWorld Technology to contact them.
Fit and Size Requirements
- The referred organization is based in the United States.
- The referred organization operates in an industry BetterWorld Technology serves and has needs aligned with BetterWorld Technology's service offerings.
- The referred organization has at least 20 supported users at the time it signs its services agreement.
- The referred organization enters into a managed services, cybersecurity, or GRC agreement with an initial term of at least 12 months (a "Qualifying Agreement"). Project only engagements, one time assessments, hardware procurement, and month to month arrangements do not qualify.
Rewards
First Meeting Reward
The Participant is eligible for a $100 electronic gift card when all of the following occur:
- The referral is a Qualified Referral, other than the Qualifying Agreement requirement.
- The referred organization completes a first meeting with BetterWorld Technology, attended by a decision maker with authority over the organization's IT or security purchasing.
- The meeting is completed within 60 days of the referral submission and is documented in the BetterWorld Technology CRM.
- The referred organization demonstrates genuine interest in BetterWorld Technology services, as determined by BetterWorld Technology.
The First Meeting Reward is limited to one per referred organization and four per Participant per calendar year. Gift cards are delivered by email within 60 days of the completed meeting.
Closed Client Reward
When a Qualified Referral signs a Qualifying Agreement, the Participant is eligible for a cash reward based on the referred organization's supported user count at signing:

Conditions for the Closed Client Reward:
- The referred organization signs its Qualifying Agreement within 180 days of the referral submission, or before the opportunity is marked closed lost in the BetterWorld Technology CRM, whichever occurs first.
- The referred organization completes onboarding, remains an active client in good standing for at least 90 days after its service start date, and has paid its invoices to date.
- The supported user count is determined by the count stated in the Qualifying Agreement at signing. Later growth or contraction does not change the reward tier.
- One Closed Client Reward per referred organization, paid to one Participant.
Current Client Participants
Current Clients may elect to receive the Closed Client Reward as a service credit applied to their BetterWorld Technology account at 200 percent of the cash value, in place of cash. For example, a $1,000 reward becomes a $2,000 service credit. The election must be made before the reward is issued and is irrevocable once processed. Service credits are applied against future invoices, have no cash value, are non transferable, and expire 12 months after issuance if unused.
Nonprofit Option
In keeping with BetterWorld Technology's Certified B Corporation commitment, any Participant may direct that their Closed Client Reward be donated to a registered 501(c)(3) organization of their choice, subject to BetterWorld Technology's approval of the recipient organization. BetterWorld Technology will make the donation in the Participant's name.
Payment Mechanics
Method and Timing
- Gift cards are issued by email to the address provided at submission.
- Cash rewards are paid by check or ACH, at BetterWorld Technology's election, no earlier than the completion of the 90 day good standing period described under Closed Client Reward and following verification of all conditions.
- Employee rewards are paid through payroll as described under BetterWorld Technology Employees.
Documentation
- Participants who are not BetterWorld Technology employees must complete a Form W-9 before any cash reward is issued.
- If a Participant fails to complete required documentation within 180 days of reward eligibility, the reward is void.
Taxes
- Rewards paid to non employee Participants are reported on Form 1099 where required by law.
- Rewards paid to employees are reported on Form W-2 and are subject to withholding.
- Each Participant is solely responsible for all tax consequences of any reward received.
Program Administration
Discretion
BetterWorld Technology reserves the right, in its sole discretion, to: determine whether any referral is a Qualified Referral; determine whether any Participant is eligible; decline to pursue or accept any referred organization as a client; disqualify any Participant or void any reward where it suspects fraud, misrepresentation, self dealing, or violation of these Terms or applicable law; and resolve all disputes concerning the Program. All such determinations are final and binding.
No Employment or Agency Relationship
Participation in the Program does not create any employment, agency, partnership, or independent contractor relationship between the Participant and BetterWorld Technology. Participants are not authorized to make representations, commitments, or statements of any kind on BetterWorld Technology's behalf, including statements about pricing, service levels, or capabilities.
Modification and Termination
BetterWorld Technology may modify, suspend, or terminate the Program or these Terms at any time, with or without notice. Referrals submitted before a modification or termination will be honored under the Terms in effect at the time of submission, provided all reward conditions are ultimately satisfied.
Lost or Delayed Submissions
BetterWorld Technology is not responsible for lost, misdirected, incomplete, delayed, or corrupted referral submissions or reward deliveries.
Privacy and Data
BetterWorld Technology collects and uses information submitted through the Program in accordance with its Privacy Policy, available at [PRIVACY POLICY URL]. By submitting a referral, the Participant represents that they have the referred contact's consent to share the contact's information with BetterWorld Technology. Participants and referred contacts may manage their communication preferences through the mechanisms described in the Privacy Policy.
Legal Terms
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.
Dispute Resolution
Any dispute arising out of or relating to the Program or these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Fairfax County, Virginia. Disputes involving BetterWorld Technology employees are governed by the dispute resolution provisions of their applicable employment agreements.
Limitation of Liability
To the maximum extent permitted by law, BetterWorld Technology will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the Program. BetterWorld Technology's total aggregate liability to any Participant will not exceed the value of the reward at issue.
Compliance
Each Participant is responsible for their own compliance with all laws, regulations, professional rules, and employer policies applicable to their participation, including any obligation to disclose referral compensation to the referred organization.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
